DEFINITIONS AND CONTRACT
For the purposes of these terms the word "introduced" shall be deemed to include without imitation the provision by Gochef Ltd of any details whether written or oral of a candidate.

For the purposes of these terms the word "engage"- shall be deemed to include without limitation the acceptance of a candidates services whether direct or indirect in any capacity whatsoever.

1) These terms of business between Gochef Ltd and the employer ("the client") are deemed to be accepted by the Client from the time of a request for information regarding a Candidate, or the interview of or engagement of a candidate introduced by Gochef Ltd.  These terms of business will apply whether or not the candidate is engaged for the same type of work for which the introduction was originally effected.

2) The Client undertakes to notify Gochef Ltd immediately of the intention to engage a candidate introduced by Gochef Ltd

The Fee:
3) The introductory fee charged by Gochef Ltd is calculated on the complexity of your assignment which is or would be payable by the Client to the candidate if the candidate was employed directly by the Client. Fees are agreed and fixed in advance. Gochef Ltd fee has been agreed as follows:

4) All other charges including charges for advertising must be separately agreed in writing and will be payable irrespective of whether or not a candidate is engaged.

5) Gochef Ltd fees and charges are set out in these terms are deemed to be exclusive of VAT and the client shall, where Gochef Ltd makes a taxable supply to the Client for VAT purposes pay Gochef Ltd a sum in addition to such fees and charges equal to the amount of VAT chargeable in respect of such supply.

6) The Client will be liable to pay Gochef Ltd fees and charges as set out in clause 3 if the Client engages a candidate introduced by Gochef Ltd at any time up to 6 months from the date of the Client's last interview with the candidate whichever is later.

7) The fee outlined in section 3 is payable to Gochef Ltd in two parts:

 1st Part - 40% of the fee within one week of commencement of employment

 2nd Part - Outstanding 60% due on completion of trial period (8 weeks).

Termination:
8) In the event of termination of employment before the end of the trial period, providing 5 days notice is given to Gochef Ltd, the 2nd part of the fee will become void, and 50% of the fee will be refunded.

9) No refund will be made in respect of an engagement terminated by the Client for reasons of redundancy or where the Client has engaged a candidate with the prior or likely intention of dispensing with the candidate's services without proper cause or with a view to obtaining a refund unfairly.

Candidate Suitability:
10)  Gochef Ltd uses all reasonable endeavours to ensure that its candidates are efficient, honest and reliable. However Gochef Ltd shall not be responsible for any loss or damage caused to the Client, its staff or property or any third party as the result of an introduction or supply effected by Gochef Ltd

11) The above terms of business are governed by English Law.
